02Eligibility & account

To use the Services you must:

• Be at least 18 years old, or the age of majority in your jurisdiction if that is older
• Have the legal capacity to enter into a binding contract
• Not be barred from using the Services under the laws of your jurisdiction or ours
• Provide accurate registration information and keep it up to date

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately if you believe your account has been accessed without your authorisation.

Your access is granted for personal use by you and your household. It is not transferable, and access details must not be shared with third parties, sold, or resold.

03Purchase, price & payment

The Programme is offered as a one-time purchase at the price displayed at checkout, currently four hundred and ninety-seven US dollars ($497). We reserve the right to change pricing at any time, but any change will not affect purchases already completed.

Payment is processed by our third-party payment processor, Explodely. By purchasing, you also agree to Explodely's terms. We do not store your payment card details.

The price is exclusive of any applicable taxes, which may be added at checkout depending on your location.

Your access to the Programme is activated once payment is confirmed by our payment processor. In rare cases, activation may be delayed by up to 24 hours while payment is verified.

04Access & licence

Subject to your compliance with these Terms and payment in full, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Programme for your personal, non-commercial educational purposes.

"Lifetime access" means access for the operational lifetime of the Programme, which we anticipate to be indefinite but cannot guarantee. If we discontinue the Programme entirely, we will provide reasonable notice and, where feasible, a means to retain the core downloadable materials you have already accessed.

Your licence does not permit you to:

• Copy, reproduce, distribute, or resell the Content in whole or in part
• Share access credentials with anyone outside your household
• Create derivative works, competing products, or training programmes based on the Content
• Use the Content to train machine learning models
• Publicly perform, display, or broadcast the Content

05Acceptable use

You agree not to use the Services for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Services. Specifically, you agree not to:

• Attempt to gain unauthorised access to any portion of the Services, other accounts, or connected systems
• Use the Services to send spam, unsolicited communications, or content that violates any law
• Reverse-engineer, decompile, or attempt to derive the source code of any software provided as part of the Services
• Use automated means (bots, scrapers) to access the Services without our express written permission
• Impersonate any person or entity, or misrepresent your affiliation
• Use the Services to create content that is defamatory, obscene, or infringes the rights of any third party

We reserve the right to suspend or terminate your access if we reasonably believe you have breached these terms.

06Intellectual property

All Content within the Programme is owned by Gemini Enterprises Ltd or licensed to us. This includes but is not limited to: training videos, written materials, PDFs, prompts, templates, software (including the AI Niche Explorer), design elements, branding, and the name "AI Video Mogul".

The following are your property and are not affected by this agreement:

• Any YouTube channels you create using the methods taught
• Any video content you produce
• Any revenue you earn from those channels
• Any accounts you create with third-party tools

You retain full ownership of your work. Our licence covers only our materials.

You may reference the methods and principles taught in the Programme in your own work, provided you do not directly reproduce our Content, prompts, or copyrighted material.

07Software & third-party APIs

The Programme includes access to the AI Niche Explorer, a web-based software tool. The software runs on your own YouTube Data API key, which you obtain directly from Google at no cost. We do not provide the API key or any API access ourselves.

Your use of the YouTube Data API is subject to Google's own terms of service. We are not responsible for changes to Google's API, quota limits, pricing (should Google introduce them in future), or availability.

The Programme also recommends and references third-party services including but not limited to ChatGPT, Claude, ElevenLabs, InVideo AI, Canva, and Metricool. Your use of those services is governed by the terms of the respective provider. We receive no compensation for these recommendations unless expressly disclosed.

08No earnings claims

The Programme is an educational product. It teaches methods, strategies, and workflows. It does not guarantee any specific income, subscriber count, view count, or business outcome.

Any results shown or referenced anywhere in our marketing, training, or communications — including references to member earnings, subscriber growth, or video performance — represent the outcomes of specific individuals and are not typical. Most people who purchase educational products do not implement them and see no results.

Your results depend on many factors we do not control, including your niche selection, effort, consistency, skill, market conditions, changes to third-party platforms (such as YouTube algorithm changes), advertising rates, and economic conditions.

By purchasing the Programme, you acknowledge that:

• We make no representations or warranties as to your future earnings or business results
• You are solely responsible for the results you achieve
• The purchase price is for the training and materials themselves, not for any promised outcome

09Refunds & cancellation

We offer a 60-day money-back guarantee. If you are not satisfied with the Programme for any reason, you may request a full refund within 60 days of your purchase date by emailing support@aivideomogul.com.

Refund requests received within 60 days will be honoured in full, no questions asked. Refunds will be processed to your original payment method within 5-10 business days of the request being received.

Refund requests received after 60 days will not be honoured except where required by applicable consumer protection law.

Upon refund, your access to the Programme will be revoked. You must delete any downloaded materials from your systems.

10Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have breached these Terms, engaged in fraudulent activity, or if we discontinue the Services.

If your access is terminated for breach of these Terms, no refund will be provided.

If we discontinue the Services entirely, we will notify affected members and, where reasonably feasible, provide either a pro-rata refund or access to core downloadable materials.

11Warranties & disclaimers

The Services are provided "as is" and "as available", without warranty of any kind, express or implied, to the fullest extent permitted by law. We do not warrant that:

• The Services will be uninterrupted, secure, or error-free
• The methods taught will produce any specific result for you
• The Services will remain compatible with any third-party platform or tool
• Any errors in the Content will be corrected

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot lawfully be excluded.

12Limitation of liability

To the fullest extent permitted by applicable law, our total aggregate liability to you arising out of or relating to the Services or these Terms shall not exceed the amount you paid for the Programme in the twelve months preceding the event giving rise to the claim.

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business, loss of data, or loss of goodwill, whether based on warranty, contract, tort, or any other legal theory.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability shall be limited to the maximum extent permitted by law.

13Indemnity

You agree to indemnify and hold harmless Gemini Enterprises Ltd, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

• Your breach of these Terms
• Your use of the Services
• Any content you create using the methods taught
• Your violation of any law or third-party rights

14Changes to the Services or Terms

We may update the Programme content, add new modules, or modify the Services at any time. Meaningful additions are provided to existing members at no additional cost as part of "lifetime access".

We may also update these Terms from time to time. If we make material changes, we will notify you by email or by prominent notice within the Services at least 14 days before the changes take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, your only remedy is to stop using the Services. No refund will be provided in respect of updates to the Terms.

15Governing law & disputes

These Terms and any dispute arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, except that we retain the right to bring proceedings against you for breach of these Terms in the courts of your country of residence.

Before commencing any court proceedings, both parties agree to attempt in good faith to resolve any dispute through direct communication. Contact us at support@aivideomogul.com as a first step.

Nothing in this section limits your statutory rights as a consumer under the laws of your country of residence.

16General provisions

Entire agreement

These Terms, together with our Privacy Policy, Refund Policy, and Earnings Disclaimer, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements.

Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.

No waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

Force majeure

We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, government actions, or failures of third-party services.

Language

These Terms are provided in English. If they are translated into any other language, the English version shall prevail in the event of any inconsistency.
